Emerson to buy remaining AspenTech stake in $7.2B deal

Emerson Electric Co. announced on Monday that it will acquire all shares in Aspen Technology, Inc. it does not already hold for $7.2 billion or $265 per share.

Emerson currently owns a 57% stake in AspenTech and after the completion of the announced transaction, the latter company will become Emerson's wholly-owned subsidiary. The transaction is anticipated to close in the first half of 2025, and AspenTech will then be delisted from the Nasdaq.

"This transaction marks a key milestone in our portfolio transformation, and we are excited to fully integrate AspenTech into Emerson to advance our vision for software-defined control," Emerson President and CEO Lal Karsanbhai commented. "We look forward to offering AspenTech shareholders the opportunity to tender their shares at compelling and certain value while welcoming the AspenTech team into Emerson," he added.
