Thoma Bravo to buy Darktrace in $5.3 billion deal

Thoma Bravo, LP will be acquiring British cybersecurity company Darktrace plc for roughly $5.3 billion, the companies said in an announcement on Friday.

Darktrace shareholders will be provided with $7.75 or 620 pence in cash as part of the deal. This is a premium of "44.3% to the volume-weighted average price of 429.9 pence per Darktrace Share for the three-month period ended 25 April 2024" and "20% to the Closing Price of 517 pence per Darktrace Sgare on 25 April 2024," it was noted in the announcement.

The deal "represents an attractive opportunity to increase its exposure to the large and growing cybersecurity market, and to invest to accelerate Darktrace's continued development and further scale the business globally," Thoma Bravo commented. Back in 2022, the firms already discussed a potential agreement, however, at the time, talks fell through. Darktrace's stock surged 19% following the news.
